It seems that the main benefits to me would be Direct X10 (especially with Age of Conan being released), compatibility for another 2Gb of RAM . Also i can run vantage hehe.

Does 4 Gb RAM have a big improvment over 2Gb, or atleast $70 worth of an improvment? Im aware itll help me run Vista "smoother" but what about gaming performance and other things such as Microsoft Office?

With Vista and gaming it will help. But remember to support 4GB of memory you need to run the 64bit version of Vista. When you buy Home Premium you only get the 32bit version, but there is a card in the box to get the 64bit version from MS for like $10 USD shipping.

If i install vista will i need to redo the overclocking process, i.e. can it become more unstable , or more stable at higher core clocks , or is it not affected by the OS?

When you install it you should have your system running at stock speed just to be safe. Also if you get the 64bit edition and 4GB of ram, install Vista with only 2GB in the slots. Once you have Vista installed you can put in the additional 2GB of ram, and Overclock it all you want.
